Lemniscate
Version 1.0 · Effective 13 October 2026
HIGH-RISK PURCHASE — READ CAREFULLY. This document describes material risks of purchasing LMNS, the native coin of the Lemniscate Chain, offered by Lemniscate Labs LLC (Wyoming, Filing ID 2026-002104366). LMNS is suitable only for purchasers who understand digital assets and can afford a total loss. Read it together with the Token Purchase Agreement and the Whitepaper.
LMNS has no capital protection and no guaranteed price, liquidity or buy-back. It is not a bank deposit and is not insured by the FDIC, SIPC or any comparable scheme. The value of LMNS can fall to zero.
LMNS is intended as a utility coin for the Lemniscate ecosystem. It pays no dividend, interest or revenue share, and it confers no equity, membership interest, voting or governance right under Wyoming LLC law or otherwise. Any value development depends on supply, demand and the usefulness of the ecosystem — none of which is guaranteed.
3.1 Reclassification. Regulators in some jurisdictions could treat LMNS as a security or another regulated instrument. That could require registrations, restrict trading or transfers, force changes to the offering, or prohibit it entirely.
3.2 Jurisdictional restrictions. LMNS is not registered in the U.S., the EU/EEA, the UK or any jurisdiction requiring a prospectus or licence. Residents of restricted jurisdictions (see the Token Purchase Agreement) are not eligible. Future regulatory action could force restructuring of the offering or of the ecosystem.
The usefulness of LMNS depends on the continued operation and success of the Lemniscate ecosystem. Material risks include competition from established messengers and crypto platforms, slower-than-planned user growth, dependence on a small founding team, and the possibility that planned features ship late or not at all.
During the presale there is no exchange listing; swapping and withdrawals are closed and are planned to open with the first listing. A listing is targeted but not guaranteed. Even after a listing, liquidity may be thin, prices may be highly volatile, may stay below presale prices, and may fall to zero.
LMNS is the native coin of the Lemniscate Chain (LRC-20 network), a young blockchain operated in connection with the Lemniscate ecosystem; planned bridges to external networks add further smart-contract risk. Risks include software bugs, exploits, network interruptions, forks and congestion. The built-in wallet is self-custodial: lost recovery phrases or private keys cannot be restored by anyone, and the assets are then permanently lost.
Presale proceeds fund development, infrastructure, marketing and operations. The presale may raise less than targeted, may be extended, paused or terminated, and prices may be changed. A funding shortfall could delay or reduce the roadmap.
Lemniscate operates an affiliate program (commissions on plan purchases and in-app LMNS purchases). Commissions reduce available liquidity, and independent affiliates or community members may make statements the Company has not authorised. Only the official documents on lemniscate.network are authoritative; the Company is not responsible for unauthorised third-party statements.
The tax treatment of purchasing, holding, spending and selling LMNS differs by jurisdiction and may change. You are solely responsible for your own tax compliance. The Company does not provide tax advice.
Roadmap items, user-growth plans, listing targets and similar statements are forward-looking. Actual results may differ materially, and the Company undertakes no duty to update such statements.
By purchasing LMNS you confirm that you have read and understood this Risk Disclosure, that you have consulted your own advisers where appropriate, and that you can bear the loss of the entire amount spent.
